These terms govern your use of this website and your purchase of AgenticEcom products from I Enterprise Ltd, trading as AgenticEcom (Company No. 13225768, registered in England & Wales; VAT No. GB372459574; registered office: Suite 2.06b, C4di @Thedock, 31-38 Queen Street, Hull, East Riding Of Yorkshire, England, HU1 1UU). By using this site or placing an order you accept these terms. If you do not agree, do not use this site or purchase our products.
1. Definitions
"We", "us" and "our" mean I Enterprise Ltd trading as AgenticEcom. "You" and "your" mean the business entity purchasing or using our products. "Products" means our software licences, source code and related deliverables. "Licence Agreement" means our Licence Agreement, which is incorporated into these terms by reference.
2. Business customers only
Our Products are sold to businesses only and are not offered or sold to consumers. By placing an order you represent and warrant that you are purchasing in the course of a business, trade or profession and not as a consumer, and that the individual placing the order is authorised to bind the purchasing entity. Consumer-protection rules, including those in the UK, EU and individual US states, are not intended to apply to these business-to-business sales.
3. Products and licensing
Our Products are software licences and source code, supplied under our Licence Agreement, which forms part of these terms and prevails in the event of any conflict on licensing matters. Each plan (Business, Studio, Agency) permits use on a set number of live production sites, as described at the point of sale. You acquire a licence to use the software; you do not acquire ownership of it.
4. Orders, pricing, and taxes
Prices are displayed in GBP and are exclusive of tax unless stated. An order is accepted, and a contract formed, when we issue your licence key or otherwise confirm acceptance.
United Kingdom: we charge UK VAT to UK customers. European Union: for EU business customers with a valid VAT number the reverse charge applies. United States: prices are exclusive of any US federal, state or local sales, use, excise or similar taxes. Where we are not obliged to collect such taxes, you are solely responsible for self-assessing and remitting any sales or use tax due in your state or jurisdiction. Where we are required to collect such taxes, they will be added at checkout. We sell to the United Kingdom, EU member states, the United States, Canada and Australia; orders from other territories cannot be accepted.
5. Immediate delivery and waiver
Products are digital content delivered immediately on payment. You consent to immediate delivery and acknowledge that any statutory cancellation, withdrawal or "cooling-off" right that might otherwise apply is lost once access is provided.
6. Payment
Payment is processed securely by Stripe (card, Apple Pay, Google Pay and Cartes Bancaires). Higher-value orders may be arranged by quotation and bank transfer, in which case the licence key is issued only once funds have cleared. You represent that you are authorised to use the payment method provided.
7. Refunds and guarantee
All sales are final as standard. We offer a fault-based 30-day money-back guarantee, and genuine faults are otherwise remediated under support rather than refunded, as set out in full in our Refund Policy, which forms part of these terms. Where a refund is granted your licence key is revoked and you must cease all use of and delete all copies of the source code.
8. Acceptable use and intellectual property
You may not redistribute, resell, sublicense, copy, share, publish or create derivative works of the software, or remove, disable or circumvent its licence-validation system, except as expressly permitted by the Licence Agreement. All intellectual property rights in our Products and this website are and remain owned by us or our licensors. No rights are granted other than the limited licence expressly set out in the Licence Agreement.
9. Support
Support is provided in accordance with your entitlement and our Support Policy & SLAs. Support does not include bespoke development, third-party integrations, or remediation of issues arising from unsupported environments or third-party code, except where separately agreed.
10. Warranties and disclaimers
We warrant that the Products will perform substantially as described in their published documentation. Except for that express warranty and to the fullest extent permitted by law, the Products are provided "as is" and "as available", and we disclaim all other warranties, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Products will be uninterrupted, error-free, or compatible with every environment, configuration or third-party component. Some jurisdictions do not allow the exclusion of certain implied warranties, so parts of this section may not apply to you.
11. Limitation of liability
To the fullest extent permitted by law, and save as set out in the Licence Agreement: (a) we shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, data, goodwill or business, however arising; and (b) our total aggregate liability arising out of or in connection with the Products and these terms shall not exceed the total amount you paid to us for the Product giving rise to the claim in the twelve (12) months preceding the event giving rise to liability. Nothing in these terms excludes or limits liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be excluded.
12. Indemnity
You agree to indemnify and hold us harmless from any claims, losses, liabilities and reasonable costs arising from your breach of these terms or the Licence Agreement, your misuse of the Products, or your infringement of any third-party rights.
13. Export controls and sanctions
You agree to comply with all applicable export control and sanctions laws, including those of the United Kingdom, the European Union and the United States. You represent that you are not located in, and will not use the Products in, any territory subject to comprehensive sanctions, and that you are not a party with whom dealing is prohibited under applicable law.
14. Governing law and disputes
These terms and any dispute arising out of or in connection with them or the Products are governed by the law of England and Wales, without regard to conflict-of-laws principles.
Customers outside the United States: the courts of England and Wales have exclusive jurisdiction.
Customers in the United States: to avoid the cost and uncertainty of cross-border litigation, any dispute that is not resolved informally within 30 days shall be finally resolved by binding arbitration on an individual basis, and not as a class action, administered under the rules of a recognised arbitral body, seated in London, England, and conducted in English. Judgment on the award may be entered in any court of competent jurisdiction, including in the United States. Either party may still seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
15. General
If any provision of these terms is held unenforceable, the remaining provisions continue in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them to a successor in connection with a merger, acquisition or sale of assets. These terms, together with the Licence Agreement and Refund Policy, constitute the entire agreement between us and supersede any prior understanding on their subject matter. We are not liable for any failure or delay caused by events beyond our reasonable control.
16. Changes and contact
