Licence Agreement (EULA)

This End User Licence Agreement ("Agreement") is between you (the "Licensee") and I Enterprise Ltd, trading as AgenticEcom (Company No. 13225768, England & Wales) (the "Licensor"). By purchasing, downloading, installing or using the AgenticEcom Suite, its modules or source code (the "Software"), you agree to be bound by this Agreement.

1. Business use only

The Software is licensed to businesses only and is not offered or sold to consumers. By purchasing you represent and warrant that you are acquiring the Software in the course of a business, trade or profession and not as a consumer.

2. Immediate delivery and waiver of cancellation

The Software is digital content delivered immediately on purchase. You consent to immediate delivery and acknowledge that you lose any applicable cancellation or withdrawal right once access to the Software or your licence key is provided.

3. Licence grant and scope

Subject to payment of the applicable fee and ongoing compliance with this Agreement, the Licensor grants you a non-exclusive, non-transferable, revocable annual licence to install and use the Software on the number of live production sites permitted by your plan:

A "live production site" is a single store operated on a single primary domain. You may run reasonable non-public staging or development copies in support of a licensed production site. Use beyond your plan's site count requires an upgraded plan.

4. Restrictions

You may not, and may not permit any third party to: redistribute, resell, sublicense, share or publish the Software outside your licensed business; copy it except as necessary for your permitted installation and backups; create derivative works for distribution; or remove, disable, alter or circumvent the licence-validation system. Any such breach immediately and automatically voids this licence, triggers revocation of your licence key, and forfeits any eligibility for refund or other consideration.

5. Licence key and validation

The Software is validated by a licence key across both the Composer (PHP) and storefront ecosystems. A revoked or lapsed key will cease to validate, disabling installation and activation. You are responsible for keeping your licence current.

6. Fees, term and renewal

Licences are sold on an annual subscription basis, exclusive of VAT, and renew unless cancelled. Prices and inclusions may change on renewal.

7. Updates and support

An active licence includes updates, new modules released during your term, security patches and priority support. Faults are remediated under support; see our Refund Policy.

8. Intellectual property

The Software, including all source code, modules, designs and documentation, is the intellectual property of the Licensor and is protected by copyright and other laws. No ownership rights are transferred; all rights not expressly granted are reserved.

9. Limitation of liability

To the fullest extent permitted by law, the Licensor's total liability arising out of or in connection with this Agreement shall not exceed the fees you paid in the twelve months preceding the claim, and the Licensor shall not be liable for indirect, incidental or consequential loss, or loss of profit, data or business. Nothing limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded by law.

10. Governing law and jurisdiction

This Agreement is governed by the law of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
