Licence Agreement (EULA)
This End User Licence Agreement ("Agreement") is between you (the "Licensee") and I Enterprise Ltd, trading as AgenticEcom (Company No. 13225768, England & Wales) (the "Licensor"). By purchasing, downloading, installing or using the AgenticEcom Suite, its modules or source code (the "Software"), you agree to be bound by this Agreement.
1. Business use only
The Software is licensed to businesses only and is not offered or sold to consumers. By purchasing you represent and warrant that you are acquiring the Software in the course of a business, trade or profession and not as a consumer.
2. Immediate delivery and waiver of cancellation
The Software is digital content delivered immediately on purchase. You consent to immediate delivery and acknowledge that you lose any applicable cancellation or withdrawal right once access to the Software or your licence key is provided.
3. Licence grant and scope
Subject to payment of the applicable fee and ongoing compliance with this Agreement, the Licensor grants you a non-exclusive, non-transferable right to install and use the version of the Software supplied during your paid updates and support term on the number of live production sites included in your order. That use right continues when the updates and support term ends. It may be revoked following a refund or material breach of this Agreement. Where a Business, Studio or Agency plan is offered, its live-site allowance is:

A "live production site" is a single store operated on a single primary domain. For other products, the site allowance shown at purchase and recorded on your licence key applies. You may run reasonable non-public staging or development copies in support of a licensed production site. Use beyond the purchased site count requires an agreed upgrade.
4. Restrictions
You may not, and may not permit any third party to: redistribute, resell, sublicense, share or publish the Software outside your licensed business; copy it except as necessary for your permitted installation and backups; create derivative works for distribution; or remove, disable, alter or circumvent the licence-validation system. Any such breach immediately and automatically voids this licence, triggers revocation of your licence key, and forfeits any eligibility for refund or other consideration.
5. Licence key and validation
Your licence key identifies the purchased Software and authorised sites. The end of the updates and support term does not by itself revoke the right to keep using the version supplied during that term; an authorised installation may continue to validate. For purchases delivered through our AgenticEcom Composer repository, you may re-download eligible versions first released on or before the end of your paid updates and support term after that term ends. Access to versions first released later requires renewal. Adobe Commerce Marketplace downloads follow Adobe's repository access rules; contact us with proof of purchase if you need an eligible historical version that is no longer available there. Keep a secure backup in case a distribution service is temporarily unavailable. A key revoked following a refund or material breach is treated separately and may end the right to use the Software.
6. Fees, term and renewal
An initial software purchase includes 12 months of updates and support. There is no automatic renewal or annual charge. For standalone paid Magento extensions, you may choose a further 12 months at 40% off the product's current list price (60% of list, plus applicable tax) if you pay before the current term ends or within 30 days afterward. An early renewal starts at the existing end date; a later renewal starts when paid. Contact us with your order number for a quote and payment instructions; the exact charge is shown before you choose to pay. A request after the discounted window is quoted separately at the then-current price. Suite, Astro storefront and service arrangements have their own written scope and renewal quote.
7. Updates and support
During the paid term, you may access updates and security patches for the purchased Software and the support included with your order. Standalone paid Magento extensions include Plus priority email support under our Support Policy. Unrelated new modules are not included unless a purchased Suite agreement expressly says otherwise. When the term ends without renewal, access to later releases and new support requests pauses, while the purchased version may continue to run. Faults and refunds are handled under our Refund Policy.
8. Intellectual property
The Software, including all source code, modules, designs and documentation, is the intellectual property of the Licensor and is protected by copyright and other laws. No ownership rights are transferred; all rights not expressly granted are reserved.
9. Limitation of liability
To the fullest extent permitted by law, the Licensor's total liability arising out of or in connection with this Agreement shall not exceed the fees you paid in the twelve months preceding the claim, and the Licensor shall not be liable for indirect, incidental or consequential loss, or loss of profit, data or business. Nothing limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded by law.
10. Governing law and jurisdiction
This Agreement is governed by the law of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
